This Terms of Service agreement ("Agreement") outlines your legal rights and obligations when accessing or using the OpenTRD platform, website available at opentrd.com, and any associated applications, tools, or software provided by Daedalis ("Company," "we," "us," or "our").

The platform is owned and operated by Daedalis, and is accessed by you under the terms described below. Please read these terms carefully before accessing or using the platform. By creating an account, accessing the site, or using any platform services, you agree to become bound by all terms and conditions of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the full legal authority to bind such entity. If you do not agree to all terms and conditions, you may not access or use the platform.


1. Acceptance of terms and account registration

OpenTRD is an enterprise business-to-business (B2B) operational data and artificial intelligence platform. You agree to use the platform solely for lawful corporate, trade, compliance, and supply chain operations. When registering an account, you must provide accurate, current, and complete details and keep profile information updated at all times. You are solely responsible for safeguarding your authentication credentials, single sign-on (SSO) tokens, and multi-factor authentication details, and you accept full responsibility for all operational actions, data uploads, and automated transactions occurring under your account.

2. Subscription tiers and plan structures

OpenTRD offers multiple tier structures designed for varying operational scales. The Beginner plan is provided free forever at zero cost, requires no payment method, and may be discontinued or cancelled at any time without fees, penalties, or notice periods. The Monthly subscription is billed upfront on a recurring monthly billing cycle via Paystack, automatically renewing each month unless auto-renewal is turned off prior to your scheduled billing date. The Annual subscription is billed upfront as a single prepaid payment covering twelve consecutive months at a discounted rate, representing a prepaid 12-month commitment that automatically renews on its anniversary unless auto-renewal is disabled prior to the renewal date. Enterprise deployments are governed exclusively by a separate, customer-negotiated Master Services Agreement (MSA) or Service Level Agreement (SLA); in the event of any conflict between this Agreement and an executed Enterprise contract, the executed MSA or SLA shall prevail.

3. Cancellation and refund policy

You may cancel a Monthly subscription at any time via your account dashboard, which immediately disables automated recurring billing through Paystack while maintaining full platform access through the end of your current paid billing month. For Annual subscriptions, you may disable auto-renewal at any time via your account settings to prevent future annual charges, but because annual subscriptions represent a discounted prepaid 12-month commitment, your platform access remains fully active for the remainder of your prepaid 12-month term. All payments, subscription fees, and charges processed through Paystack for OpenTRD services are strictly 100% non-refundable and non-creditable. Because OpenTRD automatically provisions cloud server infrastructure, assigns dedicated AI compute resources, and initiates automated data ingestion workflows immediately upon transaction authorisation, subscription fees are deemed fully earned upon payment completion. We do not issue full or partial refunds, monetary credits, or pro-rated adjustments for unused billing cycles, early annual cancellations, account inactivity, reduced supply chain volume, or immediate account suspensions resulting from a breach of this Agreement.

4. Payment processing and Paystack integration

All payment transactions, recurring billing profiles, and financial settlement are securely processed through our PCI-DSS compliant payment gateway partner, Paystack. By selecting a paid subscription tier, you authorise Daedalis and Paystack to charge your designated payment method for all applicable recurring subscription fees. All listed fees are exclusive of statutory taxes, such as Value Added Tax (VAT), which will be calculated and applied at checkout where required by law. If Paystack is unable to settle a recurring payment due to card expiry, insufficient funds, or bank decline, automated retry attempts will be conducted; if payment remains unsettled, your paid feature access and automated data pipelines will be suspended, and your account will revert to the Beginner tier or read-only status until all outstanding balances are resolved.

5. Data ownership, AI privacy and POPIA compliance

You retain full legal ownership, title, and intellectual property rights over all raw operational, trade, vendor, and supplier data ingested into OpenTRD ("Customer Data"). Daedalis enforces a strict zero-training policy: we shall not use your Customer Data, proprietary corporate records, or confidential supplier documentation to train, fine-tune, or refine multi-tenant foundation, or public AI models without your express written consent. For the purposes of the Protection of Personal Information Act (POPIA) and international data privacy regulations, you act as the Responsible Party (Data Controller) maintaining primary statutory authority over the data, while OpenTRD acts strictly as an Operator (Data Processor) handling data solely on your documented instructions to deliver platform services.

6. System availability, maintenance and SLAs

The self-serve platform across Beginner, Monthly, and Annual tiers is provided on an "as-is" and "as-available" basis without express or implied service level guarantees. Standard self-serve subscriptions do not include contractual uptime SLAs, financial downtime penalties, or credit remedies. Contractual uptime commitments, operational remedies, and priority support windows are exclusive to customer Enterprise SLAs. Daedalis reserves the right to conduct scheduled and emergency system maintenance, during which platform access or automated agent processing may be temporarily restricted or interrupted.

7. Intellectual property rights

Daedalis shall retain all worldwide rights, title, and interest in and to the intellectual property of OpenTRD, including software code, proprietary AI agent frameworks, database architectures, user interface designs, algorithmic logic, trade secrets, trademarks, and branding. Nothing in this Agreement grants you any right, title, or licence to use Daedalis's underlying software, intellectual property, or platform architecture beyond the limited, non-exclusive right to access the Service in accordance with these terms.

8. Acceptable use and immediate suspension

You agree to comply with all applicable trade, privacy, and operational laws when accessing OpenTRD. You shall not, nor permit any third party to: reverse-engineer, decompile, disassemble, or attempt to extract the source code or underlying AI models of the platform; use automated scripts, scrapers, crawlers, or bots to harvest data from the site; input malicious code, viruses, or unlawful material; or attempt to breach platform security controls, probe system vulnerabilities, or exceed rate limits. Daedalis reserves the right to immediately suspend or terminate your account without prior notice or liability upon detecting any violation of these acceptable use restrictions.

9. Limitation of liability

To the maximum extent permitted by applicable law, Daedalis and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, commercial disruption, operational downtime, or data corruption, even if advised of the possibility of such damages. Our maximum cumulative liability for any claims arising out of or related to this Agreement shall be strictly limited to the total aggregate amount actually paid by you to OpenTRD in the twelve (12) months preceding the event giving rise to the claim.

10. Governing law and jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles. Any legal dispute, action, or proceeding arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts located in South Africa.
